  • Choice of legal form
    In practice, the decision is typically made between a public limited company (AG) and a private limited company (GmbH).
    This choice affects capital requeiremens, governance, external perception, and overall strucure.
     

  • Structuring
    Definition of the company’s purpose, registered office, corporate bodies and ownership structure.
    This determines how the company is positioned legally and organizationally.
     

  • Fulfillment of legal requirements
    Every Swiss company requires a registered office, a Swiss-resident director and a Swiss bank account.
     

  • Preparation of incorporation documents
    Articles of association, incorporation documents, appointments of directors and other required documentation are prepared.

  • Capital contribution
    The required share capital is paid into a blocked capital contribution account.

  • Notarial incorporation
    The company is formally incorporated in the presence of a notary.
     

  • Registration in the Commercial Register
